Evolution Ends Acquisition of Galaxy Gaming
In a move that reshapes its investment strategy, Evolution has opted to terminate its proposed acquisition of Galaxy Gaming, initially intended to close by mid-2025. Evolution will compensate Galaxy with a fee exceeding $5 million for this termination. The decision was influenced by the failure to achieve the necessary gaming regulatory approvals before the agreement’s stipulated deadline.
Regulatory Delays Halt $85 Million Deal
The acquisition, valued at around $85 million and announced in July 2024, initially promised to enhance Evolution’s array of casino table games with Galaxy’s proprietary offerings. Although Galaxy’s shareholders showed approval in late 2024, the companies couldn’t gather the regulatory green lights within the anticipated schedule. As a response, the merger end date was extended to July 17, 2026, but the additional time still failed to secure these approvals, prompting the termination.
Strategic Shifts at Evolution
Throughout recent communications, Evolution hinted that the acquisition had diminished in importance. CEO Martin Carlesund, during a Q2 2026 earnings call, mentioned the extensive administrative work invested in the process, but noted Galaxy’s size rendered the acquisition less impactful. He assured stakeholders that the cancellation would not influence Evolution’s current business landscape or future goals.
Ongoing Commercial Collaboration
Despite ending the acquisition plans, both firms will maintain their commercial agreement, originally extended for 10 years in 2023. This partnership allows Evolution to continue leveraging Galaxy’s gaming technology and patent-protected side bets, including popular items like the 21+3 blackjack side bet. Galaxy reaffirms its commitment to its independent strategy, emphasizing customer support through its existing product lines.
